These Terms & Conditions apply to estimates, proposals, work authorizations, and invoices issued by M.W. Wireworks, Inc. By approving an estimate, authorizing work, or submitting payment, Customer acknowledges and agrees to the terms below.

1. General

All labor and materials furnished by M.W. Wireworks, Inc. ("Contractor") shall comply with the National Electrical Code (NEC) and all applicable state and local codes and regulations.

2. Scope of Work

Work shall be limited to the scope defined in the approved estimate or proposal. Any additional work requested or required outside the original scope shall be treated as a change order and billed on a time and material basis upon written authorization.

3. Pricing

Unless otherwise stated, pricing includes labor, materials, applicable sales tax, insurance, permits, and standard inspection fees. Pricing is based on known site conditions at the time of estimate.

Contractor reserves the right to adjust pricing due to unforeseen conditions, concealed conditions, or changes in material costs prior to procurement.

4. Access & Site Conditions

Proposals are based on visible and accessible conditions. Contractor shall not be responsible for additional costs associated with concealed conditions, inaccessible areas, or site conditions that differ materially from those observed at the time of estimate.

5. Exclusions

Unless specifically stated in writing, the following are excluded:

  • Network configuration, programming, or IT services
  • Owner-furnished equipment beyond basic mounting and connection
  • Repair or replacement of existing systems or infrastructure
  • Patching, painting, or finish work
  • Structural backing or reinforcement for equipment mounting

6. Scheduling & Delays

Contractor shall not be held liable for delays caused by factors beyond its control, including but not limited to material shortages, site readiness, weather conditions, or actions of third parties.

7. Payment Terms

Payment is due Net 15 days from the invoice date unless otherwise agreed in writing.

Past due balances are subject to a 1.5% monthly service charge (18% annually) or the maximum rate permitted by law.

Contractor reserves the right to suspend services, delay work, or withhold project closeout documentation, including test results, certifications, and as-built documentation, until all outstanding balances are paid in full.

8. Disputed Charges

Any disputed charges must be submitted in writing within seven (7) days of the invoice date. Undisputed amounts remain payable under these terms.

9. Collections

Customer agrees to pay all costs of collection, including but not limited to reasonable attorney's fees, court costs, and collection agency fees.

10. Warranty

Contractor warrants labor and materials provided for a period of one (1) year from the date of substantial completion.

This warranty is limited to repair or replacement of defective workmanship or materials provided by Contractor and does not cover:

  • Owner-supplied equipment
  • Misuse, neglect, or environmental damage
  • Work performed by others

Warranty service shall be performed during normal business hours.

11. Limitation of Liability

Contractor's liability shall be limited to the value of the work performed under the agreement. In no event shall Contractor be liable for indirect, incidental, or consequential damages, including loss of use, revenue, or profit.

12. Travel & Expenses

Travel time beyond 45 minutes from Contractor's office may be billed at standard hourly rates. Out-of-pocket travel expenses, including airfare, rental vehicle, lodging, and similar costs, will be billed at cost unless otherwise noted.

13. Acceptance of Terms

By approving an estimate, authorizing work, or submitting payment, Customer acknowledges and agrees to these Terms & Conditions.

14. Minnesota Pre-Lien Notice

(a) Any person or company supplying labor or materials for this improvement to your property may file a lien against your property if that person or company is not paid.

(b) Under Minnesota law, you have the right to pay persons who supplied labor or materials for this improvement directly and deduct this amount from our contract price, or withhold the amounts due until 120 days after completion unless we provide lien waivers.
